Overview

Associate Counsel of Learfield Communications, LLC, and its affiliated entities (collectively, “Company”), will report to the Company’s Chief Legal Officer and will assist in overseeing the Company’s legal affairs including drafting and review of key business agreements, providing legal support, advice and counsel for Company and all Company related entities. This position will provide innovative and strategic solutions to all levels of Company. Specific responsibilities will include: assisting in litigation management; preparing, reviewing and negotiating all varieties of legal documents; employment matters; compliance matters; and intellectual property protection.

 

Learfield has a deep presence in the college athletics landscape nationwide. It manages the multimedia and sponsorship rights for more than 130 collegiate institutions, conferences and arenas. Learfield also provides ticketing, fundraising, marketing, analytics, and technology solutions; trademark licensing agency services; professional concessions; digital and social platform services; campus-wide business and sponsorship development; and venue and technology systems through its affiliated companies.

Responsibilities

  • Serve as legal advisor to business, finance and sales personnel.
  • Prepare, review and negotiate all varieties of legal documents including but not limited to multi-media rights agreements with colleges, universities and conferences, sponsorship agreements, waivers, consents, merger and acquisition related agreements, corporate minutes, finance documents, and legal correspondence for extensions, terminations, breach, trademark infringement, etc.
  • Provide legal services in connection with mergers and acquisitions and asset dispositions.
  • Provide analysis and guidance on strategic projects and deals.
  • Work closely with line and corporate personnel to anticipate, identify and manage liability areas and legal exposure; risk management.
  • Conduct document, practice and policy reviews and audits to ensure Company and related entities are in compliance with appropriate laws and internal policies and procedures; quality control.
  • Assist in managing, overseeing and evaluating outside counsel, including litigation matters.
  • Assist in compliance matters, including assistance in overseeing overall compliance training.
  • Advise in the areas of employment practices, human resources and general business practice compliance.
  • Intellectual property management for Company, Company’s Foundation and all other related entities.
  • Keep current on industry-wide legal trends and developments.
  • Participate in special projects as requested.
  • Develop and maintain relationships with universities’ and sponsors’ in-house attorneys in specified practice areas.

Qualifications

To perform the job successfully, the candidate should demonstrate the following competencies to perform the essential functions of this job:

  • Bachelor’s degree from an accredited college or university.
  • Law degree from an accredited law school with admission to a state bar.
  • 3-5 years of relevant experience in the sports/entertainment industry, a major law firm or corporation/business in-house and demonstrated experience with a wide range of general business affairs.
  • Ability to write legal reports and correspondence.
  • Outstanding research skills
  • Ability and flexibility to work and appreciate the varying interests of key stakeholders and a demonstrated ability to build consensus among multiple internal and external constituents.
  • Strong understanding of corporate, employment and intellectual property law.
  • Presents self in professional manner and has the ability to interact with all levels of organization and outside contacts.

  • Excellent communication skills including written and verbal; ability to present ideas clearly and concisely.
